Individual reason or Capital companies

The legal form of a company allows it to define its tax status. So what are the main legal forms of businesses in the canton of Geneva? They can be grouped into two main forms, namely individual reason and partnerships and capital companies.

Individual reason and partnerships

The constitution of this legal form does not cost anything at all. But be aware that the owner of all his property.

Thus, here are the types of individual reason and partnerships to which it is possible to choose:

There is individual reason, when a natural person sets up a company for commercial purposes under his responsibility.

In this case, the partners all own the property of the company as well as the debt.

It is made up of at least two partners and must be for commercial purposes.

It is a partnership made up of two groups of partners: general partners and limited partners. Company shares cannot be transferred in this case.

Capital companies

Unlike individual reason and partnerships, developing this type of legal form is a bit more expensive. But the owner’s liability is limited to equity participation with the exception of criminal liability.

It is a commercial company in which the shares of the partners limit their financial responsibilities.

It is a commercial company whose shareholders’ liability is equivalent to their financial contributions.

A branch is a commercial establishment whose activity is similar to that of its parent company.
